§1 Scope & Definitions

These T&Cs apply to all contracts concluded via replitoy.com with consumers (§ 13 BGB) and business customers (§ 14 BGB) and—where indicated—to orders placed via marketplaces (e.g., Etsy) to the extent legally permissible. Conflicting terms of the customer apply only if we expressly agree in writing.

§2 Subject Matter & Products

RepliToy produces custom, stylised figures and objects (primarily based on customer-supplied images and texts) in a cartoon or stylised manner („artistic approximation“). Non-custom accessories may be offered from time to time. No 1:1 facial likeness is promised; the goal is recognisability, style and fun.

§3 Orders via Marketplaces (Etsy & others)

Marketplace rules (checkout, payments, messaging, dispute handling) prevail for procedural matters. These T&Cs govern our substantive relationship (scope of work, IP, liability, etc.) unless marketplace terms mandatorily conflict.

§4 Conclusion of Contract

Product displays are an invitation to treat (invitatio ad offerendum). Submitting an order constitutes a binding offer. We may accept within five (5) days by order confirmation, payment request, delivery notice, or delivery. Marketplace timing follows platform rules.

§5 Prices, Payment, Production Start

Prices are gross incl. VAT, plus shipping shown at checkout. Accepted payment methods are shown at checkout or on the respective platform. Custom production starts only after payment and—if applicable—after proof approval. No early-payment discount applies unless expressly granted; promotions or vouchers are non-redeemable in cash and subject to campaign terms.

§6 Delivery, Lead Times, Risk, Customs

Custom production time is approx. 3–14 business days from payment and (if applicable) proof approval; peak seasons may extend times. Transit times vary by destination and shipping method. Risk passes on delivery to consumers and upon handover to the carrier for business customers. For non-EU shipments, default delivery term is DAP (Incoterms®); recipient bears any duties and taxes. Additional costs arising from incorrect addresses or delayed acceptance are borne by the customer if attributable to them.

§7 Customer Cooperation, Inputs & Proofs

Customers provide suitable images, logos or texts in adequate quality and respond to queries promptly (usually within 2 business days). Where offered, a digital proof may be provided; up to two revision rounds are included, and further changes are chargeable and may delay delivery. Production starts only after payment and any required proof approval. Post-start changes may incur costs and delays. The work is an artistic interpretation; minor deviations in pose, expression, color tone or details do not constitute defects.

§8 Characteristics, Tolerances & Safety

1. Due to 3D printing and manual finishing, minor colour, surface and dimensional tolerances (including visible layer lines) are normal and technically unavoidable.
2. Safety Disclosures: The product-specific safety notices and markings displayed on the product page, packaging, or accompanying product information sheet (in particular regarding age suitability and choking hazards due to small parts) apply.
3. Keep away from excessive heat, intense UV light and moisture; not designed for industrial or high-stress use.
4. No Guarantee of 1:1 Likeness: For custom products, we do not guarantee exact photographic facial identity, but an artistic, recognisable approximation in our design style.

§9 Rights in Inputs, Personality Rights & Portfolio Use

1. Customers warrant that they hold all necessary intellectual property and personality rights for provided content (images, logos, text) and, in the case of minors, that parental or guardian consent has been obtained.
2. Customers grant us a non-exclusive, purpose-bound licence to edit (including 2D-to-3D conversion), reproduce and use inputs to perform the contract.
3. Customers indemnify us against third-party claims arising from breaches of these warranties.
4. Portfolio and Reference Use:
   • We may show photographs of finished products (not customer-provided original photos) for reference and portfolio purposes on our channels, provided no personality rights are infringed.
   • Where identifiable persons appear on the finished product, we obtain prior consent before publishing.
   • Customers may object to portfolio use at any time with future effect by sending an e-mail to [email protected].

§10 Warranty (Defects)

Statutory warranty rights apply. Minor variations in colour, surface or dimensions within normal 3D-printing tolerances and artistic interpretation are not defects, provided usability is not impaired. Business customers must notify obvious defects in writing within 14 calendar days of delivery (§ 377 HGB). For business customers, the limitation period for new goods is 12 months from delivery; for used goods, warranty is excluded. Exclusions do not apply in cases of intent, gross negligence, injury to life, body or health, or under the German Product Liability Act.

§11 Liability

We have unlimited liability for intent, gross negligence, injury to life, body or health, and claims under the German Product Liability Act. For simple negligence, liability is limited to breaches of essential contractual obligations (cardinal duties) and to foreseeable, typical damages. These limitations also apply to our legal representatives and vicarious agents.

§12 Withdrawal & Returns

1. Exclusion for personalised goods: Because custom items are made to customer specifications or clearly personalised, there is no statutory right of withdrawal (§ 312g(2) no. 1 BGB).
2. For non-custom standard items, statutory withdrawal rights apply as set out in our Withdrawal Policy. Consumers may declare their withdrawal using, among other means, the electronic withdrawal function provided on our website (§ 356a BGB).
3. Marketplace purchases may additionally be subject to the platform’s return procedures.

§13 Retention of Title

Goods remain our property until paid in full.

§14 Contract Text, Communication & Language

We store the contract text (order data and terms) and send the order confirmation by e-mail. The contract language is German. Customer communication is generally handled by e-mail or via the marketplace's messaging system.

§15 Consumer Dispute Resolution

We are not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board.

§17 Final Provisions, Jurisdiction, Governing Law

German law applies, excluding the UN Sales Convention. For consumers with habitual residence in the EU, mandatory consumer protections of their home state remain unaffected. For merchants and legal entities under public law, the exclusive place of jurisdiction is Düsseldorf. RepliToy is a brand of expertpal UG (haftungsbeschränkt). If any provision is invalid, the remainder remains effective.

§18 ElectroG / WEEE (Future Hardware)

If we place electrical or electronic equipment on the market, we comply with statutory requirements under the German Electrical and Electronic Equipment Act (ElektroG) and the EU WEEE Directive (including ear registration, crossed-out wheeled bin labelling, and take-back obligations). Waste equipment must not be disposed of with household waste. End-users must erase personal data and, where non-destructively possible, remove batteries before returning equipment. For purely decorative, non-electronic RepliToy figurines, this clause does not apply.

§19 Magnets & Safety

Where products or accessories include permanent magnets: Magnets must not be ingested or inhaled (risk of severe internal injury) and must be kept away from young children. Magnets may interfere with medical implants (e.g. pacemakers) and magnetic media; maintain an adequate safety distance. Please observe the product-specific safety warnings.

§20 SaaS & Software Services

Any accompanying online tools or software services are provided on an „as is“ and „as available“ basis. Separate or additional terms may apply to software offerings and will be made available during service setup.
