§1 Scope & Definitions

These T&Cs apply to all contracts concluded via replitoy.com with consumers (§ 13 BGB) and business customers (§ 14 BGB) and—where indicated—to orders placed via marketplaces (e.g., Etsy) to the extent legally permissible. Conflicting terms of the customer apply only if we expressly agree in writing.

§2 Subject Matter & Products

RepliToy produces custom, stylised figures/objects (primarily based on customer-supplied images/texts) in a cartoon/stylised manner (an artistic approximation). Non-custom accessories may be offered from time to time. No 1:1 facial likeness is promised; the goal is recognisability, style and fun.

§3 Orders via Marketplaces (Etsy & others)

Marketplace rules (checkout, payments, messaging, dispute handling) prevail for procedural matters. These T&Cs govern our substantive relationship (scope of work, IP, liability, etc.) unless marketplace terms mandatorily conflict.

§4 Conclusion of Contract

Product displays are invitations to treat. Submitting an order constitutes a binding offer. We may accept within 5 days by order confirmation, payment request, delivery notice, or delivery. Marketplace timing follows platform rules.

§5 Prices, Payment, Production Start

Prices are gross incl. VAT, plus shipping shown at checkout. Accepted payment methods are shown at checkout/platform. Custom production starts only after payment and—if applicable—after proof approval. No early-payment discount unless expressly granted; promotions/vouchers are non-redeemable in cash and subject to conditions.

§6 Delivery, Lead Times, Risk, Customs

Custom production time is approx. 3–14 business days from payment and (if applicable) proof approval; peak seasons may extend times. Transit times vary by destination/method. Risk passes on delivery to consumers and upon handover to the carrier for business customers. For non-EU shipments, default DAP (Incoterms®); recipient bears duties/taxes. Incorrect address/refusal: additional costs at customer’s expense if attributable to them.

§7 Customer Cooperation, Inputs & Proofs

Customers provide suitable images/logos/texts and respond to queries promptly (usually within 2 business days). Where offered, a digital proof may be provided; up to 1–2 revision rounds are included, further changes are chargeable and may delay delivery. Production starts only after payment and any required proof approval. Post-start changes may incur costs and delays. The work is an artistic interpretation; minor deviations (pose, expression, tone, details) are not defects.

§8 Characteristics, Tolerances & Safety

Due to 3D printing/hand-finishing, colour/surface/dimensional tolerances (incl. visible layer lines) are normal. Items are decorative, not toys, and not suitable for children under 14; small-parts choking hazard. Keep away from heat/UV/moisture; not for industrial/test use. No guarantee of 1:1 likeness; only an artistic, recognisable approximation.

§9 Rights in Inputs, Personality Rights & Portfolio Use

Customers warrant they hold all necessary IP/personality rights for provided content (images, logos, text) and, for minors, that guardian consent exists. Customers grant us a non-exclusive, purpose-bound licence to edit (incl. 2D→3D), reproduce and use inputs to perform the contract. Customers indemnify us against third-party claims arising from breaches of these warranties. Portfolio use (without opt-in, within legal limits): We may show photos of finished products (not the customer’s original photos) for reference/portfolio/marketing on our channels, without infringing personality rights. Where identifiable persons would appear, we obtain prior consent. Customers may object to portfolio use at any time with future effect (e-mail to [email protected]); we will remove content within a reasonable period unless statutory retention obligations prevail.

§10 Warranty (Defects)

Statutory warranty rights apply. Not defects: minor colour/surface/size variations within normal 3D-printing tolerances, stylistic variations, and artistic approximation (if usability is not impaired). Business customers must notify obvious defects in writing within 14 calendar days of delivery (§ 377 HGB). For business customers, limitation for new goods may be reduced to 12 months; used goods may be excluded, subject to mandatory law. Exclusions do not apply in cases of fraud, Product Liability Act, injury to life/body/health, or intent/gross negligence.

§11 Liability

Unlimited liability for intent and gross negligence, injury to life/body/health, and under the German Product Liability Act. For simple negligence, liability is limited to breaches of cardinal duties and to the foreseeable, typical damage. These limits also benefit our legal representatives and vicarious agents.

§12 Withdrawal / Returns

No withdrawal for custom/personalised goods. For non-custom items, our Withdrawal Policy applies. Marketplace purchases may also be subject to the platform’s procedures.

§13 Retention of Title

Goods remain our property until paid in full.

§14 Contract Text, Communication & Language

We store the contract text (order data, T&Cs) and send order confirmation by e-mail. Contract language: German. Customer communication is generally by e-mail; for marketplaces, via the platform’s messaging system.

§15 Online Dispute Resolution / Consumer ADR

ODR platform: https://ec.europa.eu/consumers/odr/. We are not obliged and not willing to participate in consumer ADR proceedings.

§16 Privacy

Our Privacy Policy (https://replitoy.com/privacy) applies and explains legal bases, purposes, recipients (e.g., hosting, payment/shipping providers), retention, data subject rights, and specifics for image/media used for personalisation.

§17 Final Provisions, Jurisdiction, Governing Law

German law applies, excluding the UN Sales Convention. For consumers with habitual residence in the EU, mandatory consumer protections of their home state remain unaffected. For merchants/public law entities, exclusive jurisdiction is Düsseldorf. RepliToy is a brand/product/service of expertpal UG (haftungsbeschränkt). If any provision is invalid, the remainder remains effective; statutory provisions replace invalid terms.

§18 ElectroG / WEEE (Future Hardware)

If we place electrical/electronic equipment on the market (e.g., a bottle holder with automatic level sensing), we will comply with ElectroG/EU WEEE obligations (registration, labelling, information, take-back/disposal). End-users must not dispose of e-waste in household waste; returns via municipal collection points, retailer take-back or—after prior arrangement—for our own devices to: expertpal UG (haftungsbeschränkt), Nettelbeckstr. 15, 40477 Düsseldorf, Germany, [email protected]. Remove personal data and, where possible, remove batteries/accumulators per BattG. This clause applies only to products actually classed as EEE; purely decorative, non-electronic RepliToy figures are excluded.

§19 Magnets & Safety

Some products/accessories may include permanent magnets. Magnets are not toys and are unsuitable for children under 14 (choking/pinch hazard). Magnets can interfere with medical implants (e.g., pacemakers/ICDs) and electronic media; maintain a safe distance (typically ≥ 15 cm) and follow medical guidance. Avoid heat/moisture/corrosive environments; inspect magnets for damage regularly.

§20 SaaS / Software (“as is”) & Additional Terms

We may provide online services/SaaS tools on an “as is” and “as available” basis without guarantees of specific availability, features, or outcomes. Separate/additional Terms (and, where applicable, data processing agreements) govern SaaS/software and prevail over these product T&Cs in case of conflict. Details are provided during service onboarding.
